Terms and Conditions for Marsons Electric AB

These Terms and Conditions (“Terms”) apply to all sales, deliveries, products, services, software, firmware, and transactions conducted by Marsons Electric AB (“Marsons,” “we,” “us,” or “our”) via www.marsons.se and related communications.
By placing an order, using our website, or purchasing our products, you agree to be bound by these Terms.
1. General
B2B vs. B2C
Statutory consumer protection rights under applicable law apply only to consumers purchasing products for private use.
Business customers acknowledge that mandatory consumer protection legislation may not apply to commercial purchases.
Certain products may be intended for:
prototype use,
experimental applications,
racing,
research and development,
commercial marine environments,
off-road applications,
or custom-engineered systems,
and may require additional engineering validation, certification, testing, or approval by the purchaser before use.
Age Requirement
Purchasers must be at least 18 years old and legally capable of entering binding agreements.
2. Orders, Pricing, Payments, and Taxes
All orders are subject to acceptance and availability.
We reserve the right to:
refuse or cancel orders,
limit quantities,
correct pricing errors,
reject suspected fraudulent transactions,
or refuse sales involving sanction risks or export control concerns.
EU Customers
Prices displayed for EU customers include applicable Swedish VAT unless otherwise stated.
Non-EU Customers
Customers outside the EU act as the “Importer of Record” and are solely responsible for:
local VAT,
import duties,
customs fees,
brokerage charges,
product registration,
local certification requirements,
and any other governmental charges.
Payment
Full payment must be received and irrevocably cleared before goods are dispatched or ownership transfers.
3. Retention of Title
Marsons Electric AB retains full legal ownership and title to all products until payment has been fully received and cleared.
Until ownership transfers:
products may not be pledged,
resold,
transferred,
dismantled,
modified,
or used as collateral without written authorization from Marsons Electric AB.
4. Technical Specifications and Product Information
Metric Units
All specifications, measurements, dimensions, capacities, weights, and performance figures are provided strictly in metric units unless otherwise explicitly stated.
The customer is solely responsible for any required unit conversions.
Continuous Product Development
We reserve the right to modify:
specifications,
appearance,
firmware,
software,
APIs,
connectivity,
dimensions,
materials,
and functionality
without prior notice.
Images, renderings, and illustrations are for reference purposes only and may differ from delivered products.
Suitability and Engineering Responsibility
Marsons Electric AB does not guarantee that any product is suitable for a particular application unless expressly confirmed in writing.
The customer is solely responsible for verifying:
compatibility,
electrical ratings,
thermal management,
structural integration,
waterproofing,
ventilation,
regulatory compliance,
certification requirements,
operational safety,
and application suitability before installation or use.
Certification Disclaimer
Unless explicitly stated in writing, products may not be:
certified,
CE-marked,
homologated,
class-approved,
marine-certified,
road-legal,
or approved for use in all jurisdictions or applications.
The customer is solely responsible for determining legal compliance in the destination country and intended application.
5. Shipping, Delivery, and Inspection
We ship internationally where legally permitted.
Delivery times are estimates only and are not guaranteed.
Risk Transfer
Risk of loss, theft, delay, or damage transfers to the customer once goods are delivered to the shipping carrier.
Inspection Requirement
Customers must inspect shipments immediately upon receipt.
Visible transport damage, shortages, or discrepancies must be reported:
to the carrier immediately, and
to Marsons Electric AB within 48 hours of delivery.
Failure to report shipping damage within this timeframe may invalidate insurance and transport claims.
Dangerous Goods Shipping
Marsons Electric AB reserves the right to refuse shipment of lithium batteries or hazardous goods where:
carrier restrictions,
export controls,
legal uncertainty,
or dangerous goods limitations apply.
Import Compliance
Customers are solely responsible for ensuring imported products comply with:
local maritime regulations,
registration laws,
electrical standards,
environmental laws,
and import restrictions.
6. Right of Withdrawal (EU Consumers)
In accordance with applicable EU and Swedish consumer protection legislation, eligible EU consumers generally have 14 days from receipt of goods to withdraw from a purchase.
Exemptions
Where permitted by law, the right of withdrawal does not apply to:
custom-made products,
specially configured systems,
programmed controllers,
custom battery assemblies,
made-to-order components,
or sealed products unsuitable for return once opened.
Withdrawal Procedure
To exercise the right of withdrawal, customers must use the standardized “Withdrawal / Cancel Order” function available through the website or account dashboard.
Returned goods must:
be unused,
undamaged,
complete,
and returned in original packaging where reasonably possible.
Customers are responsible for return shipping costs unless mandatory law states otherwise.
Hazardous Goods Returns
Customers returning lithium batteries or hazardous materials are solely responsible for compliance with all dangerous goods transport regulations, including Class 9 packaging and documentation requirements.
Unauthorized returns may be refused.
7. High-Voltage, Battery, and Marine Safety Warning
General Warning
Lithium battery systems, high-voltage electrical systems, propulsion systems, and high-current components may present serious risks including:
fire,
thermal runaway,
explosion,
electric shock,
toxic fumes,
vessel damage,
property damage,
severe injury,
or death.
By purchasing such products, the customer acknowledges and accepts these inherent risks.
Professional Installation
Products must only be installed, serviced, commissioned, and maintained by qualified professionals.
It is the customer’s responsibility to determine whether installers possess the licenses, certifications, insurance, and competence required under local law.
High-voltage systems must never be serviced while energized and must not be installed, modified, or repaired by unqualified persons.
Charging and Storage
High-capacity batteries should be:
charged under supervision,
monitored appropriately,
and stored according to Marsons safety recommendations and applicable regulations.
Inspection Before Use
Products must be inspected before installation and operation.
Products showing:
shipping damage,
moisture intrusion,
overheating,
swelling,
corrosion,
or visible defects
must not be energized or used.
Customer Safety Responsibility
The customer is solely responsible for implementing appropriate:
circuit protection,
emergency shutoffs,
fire suppression,
ventilation,
flotation,
monitoring systems,
and operational redundancies appropriate for marine and electrical environments.
Restricted Applications
Unless expressly approved in writing, products must not be used in:
aviation,
military systems,
nuclear facilities,
medical devices,
life-support systems,
or other safety-critical applications.
Navigation Disclaimer
Marsons products do not constitute navigation safety systems and are not guaranteed to prevent:
propulsion loss,
vessel failure,
grounding,
collision,
or maritime accidents.
8. Warranty and Exclusions
Marsons Electric AB complies with mandatory rights under applicable Swedish consumer legislation.
Customers must report defects within a reasonable timeframe after discovery.
Warranty Exclusions
Warranty coverage is voided by:
unauthorized modifications,
improper installation,
misuse,
neglect,
racing,
commercial overuse,
improper charging,
over-discharge,
overcurrent,
overvoltage,
unauthorized firmware modification,
impact damage,
improper winter storage,
failure to maintain waterproofing,
corrosion,
saltwater exposure,
galvanic corrosion,
electrolysis,
stray current damage,
flooding,
improper ventilation,
or operation outside intended specifications.
Marine environments are inherently corrosive and mechanically demanding. Even properly installed equipment requires regular inspection and maintenance.
Authorized warranty coverage applies only to the original purchaser unless otherwise agreed in writing.
Consumable components and normal wear are excluded unless mandatory law requires otherwise.
Marsons Electric AB reserves the right to:
repair,
replace,
or refund products
at our discretion.
9. Limitation of Liability
To the maximum extent permitted by law, Marsons Electric AB shall not be liable for:
indirect damages,
consequential damages,
incidental damages,
loss of profits,
business interruption,
downtime,
towing costs,
salvage costs,
data loss,
firmware corruption,
software incompatibilities,
environmental damage,
vessel damage,
property damage,
personal injury,
death,
or third-party claims.
Marsons Electric AB is not responsible for:
firmware corruption,
software errors,
configuration loss,
calibration errors,
API incompatibilities,
or interruptions resulting from updates, integrations, or third-party modifications.
Technical guidance, recommendations, or advice provided verbally, by email, social media, messaging platforms, or forums are informational only and do not constitute engineering certification or legally binding suitability guarantees.
The customer assumes all risks associated with installation, integration, operation, and use of high-performance marine and electrical systems.
Our total aggregate liability shall under all circumstances be strictly limited to the original purchase price of the specific product giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
10. Intellectual Property and Software
All:
product designs,
technical drawings,
CAD files,
software,
firmware,
APIs,
trademarks,
branding,
graphics,
documentation,
photographs,
and website content
remain the exclusive intellectual property of Marsons Electric AB unless otherwise stated.
Unauthorized:
copying,
commercial reproduction,
firmware extraction,
circumvention of security mechanisms,
or commercial reverse engineering
is prohibited except where mandatory law expressly permits otherwise.
Software and Firmware Licensing
Software and firmware are licensed, not sold.
Unauthorized modifications to firmware or software may:
void warranties,
invalidate safety certifications,
compromise safety,
and permanently damage products.
We do not guarantee indefinite availability of:
spare parts,
firmware updates,
software compatibility,
APIs,
cloud services,
or technical support for discontinued products.
11. Export Controls and Trade Restrictions
Customers agree to comply with all applicable export control laws and sanctions regulations including those of:
Sweden,
the European Union,
the United Nations,
and the United States where applicable.
Products may not be exported, re-exported, transferred, or supplied directly or indirectly to:
sanctioned countries,
restricted entities,
prohibited end users,
or prohibited end uses.
We reserve the right to refuse or terminate transactions suspected of violating export control laws.
12. Fraud Prevention and Chargebacks
We reserve the right to:
refuse service,
suspend transactions,
cancel orders,
or request additional verification
where fraud or abuse is suspected.
Fraudulent chargebacks, false claims, abusive disputes, or intentional misuse of consumer protection systems may be pursued through:
debt collection,
civil recovery,
legal proceedings,
or reporting to relevant authorities.
13. Data Privacy (GDPR)

14. Force Majeure
Marsons Electric AB shall not be liable for delays, failures, or inability to perform caused by events beyond our reasonable control, including but not limited to:

terrorism,
cyberattacks,
ransomware,
labor disputes,
supplier insolvency,
semiconductor shortages,
transportation embargoes,
customs seizures,
export restrictions,
sanctions,
pandemics,
governmental actions,
port congestion,
energy shortages,
maritime disasters,
carrier failures,
global supply chain disruptions,
or raw material shortages.
15. Electronic Communications
By using our website or placing an order, you consent to receiving electronic communications including:
invoices,
manuals,
safety notices,
firmware notices,
technical information,
warranty communications,
and customer support messages.
Electronic communications satisfy legal requirements for written communication where permitted by law.
16. Governing Law and Disputes
These Terms shall be governed by and interpreted in accordance with the laws of Sweden.
Consumers may contact applicable consumer authorities or dispute resolution bodies, including:

Unless mandatory consumer law requires otherwise, all disputes shall be subject to the exclusive jurisdiction of the Swedish General Courts, with Nyköpings tingsrätt as first instance.
17. Entire Agreement
These Terms constitute the complete and exclusive agreement between the parties and supersede all prior oral or written communications, representations, or agreements unless expressly agreed in writing.
18. Severability
If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions shall remain fully valid and enforceable.
19. Language
If these Terms are translated into another language, the English version shall prevail in the event of discrepancies or inconsistencies.
